Habbit Shop Terms of Service

These Terms of Service (the “Terms”) set out the conditions for purchasing products and using related services (the “Service”) on the online shop “Habbit Shop” (https://habbitshop.com/, the “Shop”) operated by Habbit Inc. (“we”, “us” or “the Company”). Anyone using the Shop (the “Customer” or “you”) must agree to these Terms before using the Service. This English text is provided for convenience; in the event of any discrepancy, the Japanese version prevails.

Article 1 (Application)

1. These Terms apply to all relations between the Company and the Customer concerning use of the Service.
2. The “User Guide”, “FAQ”, “Legal Notice (Act on Specified Commercial Transactions)”, “Privacy Policy” and other notices posted on the Shop (the “Individual Provisions”) form part of these Terms. Where these Terms and the Individual Provisions differ, the Individual Provisions prevail.
3. These Terms constitute standard terms of contract (teikei yakkan) under Article 548-2 of the Civil Code of Japan.
4. The membership terms of “Another Eidos of Dragon Vein R” or any other game service provided by the Company do not apply to the Shop. Member accounts of the Shop and of those game services are not linked.

Article 2 (Amendment of the Terms)

1. The Company may amend these Terms when it deems necessary, in accordance with Article 548-4 of the Civil Code of Japan.
2. Amended Terms take effect when posted on the Shop. A Customer who uses the Service after such posting is deemed to have agreed to the amended Terms.

Article 3 (Guest purchases)

1. For security reasons, the Shop does not offer member registration. Purchases are available through guest checkout only.
2. Customers must enter true and accurate information when placing an order.

Article 4 (Age restriction and adult products)

1. Products that the Company labels as “adult products” (adult novelty goods and similar items) may be purchased only by Customers aged 18 or over.
2. A Customer who purchases an adult product represents and warrants at the time of ordering that they are 18 or over. The Company may request identification to verify age and may cancel the order if age cannot be verified.
3. A Customer under 18 who purchases products other than adult products must do so with the consent of a legal guardian. Where an order is placed by a Customer under 18, the Company deems such consent to have been given.

Article 5 (Orders and formation of the sales contract)

1. Customers place orders by following the procedure prescribed on the Shop.
2. A sales contract is formed when the Company sends an e-mail confirming the order (the “order confirmation e-mail”). If it later becomes apparent that the order cannot be accepted (for example the item is out of stock, payment is not approved, or Article 7 applies), the Company may cancel the order even after the contract has been formed, and will promptly refund any amount received.
3. Title to the products passes from the Company to the Customer on delivery.
4. The Shop may sell products on consignment from other businesses or individuals (“consignment products”). For consignment products too, the party to the sales contract with the Customer is the Company, and the provisions on ordering, payment, delivery and Articles 5 to 8 apply in the same way as for the Company’s own products. The handling of Customer information relating to consignment products is as set out in the Privacy Policy.
5. Displayed prices include Japanese consumption tax. Shipping fees are charged separately as set out in the Individual Provisions (User Guide) and are borne by the Customer.
6. Product images may differ from the actual product in colour or texture. The design of merchandise may also differ in part from the character artwork appearing in games or other media; unless the product differs from what is displayed on the Shop, the Company does not accept returns or exchanges on that ground.

Article 6 (Payment)

1. Payment for products and shipping is made by the method displayed on the Shop and chosen by the Customer.
2. For credit card payments, the Customer’s card details are sent directly to the payment service provider designated by the Company; the Company does not retain card numbers. Any dispute with the card issuer is to be resolved between the Customer and the card issuer.
3. If payment is not approved by the payment service provider or the card issuer, the order is not formed.

Article 7 (Cancellation, returns and exchanges)

1. Cancellation, changes, returns or exchanges at the Customer’s convenience are not accepted once an order has been confirmed, except as provided in the following paragraph.
2. If a delivered product is defective, damaged, short in quantity or differs from the order, the Customer must notify the Company by the designated method within 7 days of delivery. After inspecting the product the Company will provide an exchange or refund and will bear the return shipping cost.
3. Even in the case of the preceding paragraph, the following products are excluded from exchange or refund:
(1) products that have been opened or used (other than to the extent necessary to confirm a defect);
(2) products damaged or soiled through the Customer’s fault;
(3) adult products that have been opened and cannot be resold for hygiene reasons;
(4) made-to-order or pre-order products that the Company has indicated in advance as non-returnable.
4. If a product is returned to the Company because of refusal, prolonged absence or an unknown address, the order is deemed cancelled and the Company may refund the amount received less the round-trip shipping and handling costs.

Article 8 (Delivery)

1. Products are delivered through logistics providers engaged by the Company. Delivery methods, shipping fees, estimated delivery times and other delivery conditions are as set out in the Individual Provisions (User Guide).
2. For deliveries outside Japan, customs duties, import taxes, clearance fees and similar charges imposed in the destination country or region are borne by the Customer. The Company bears no responsibility, including for refunds, where a product whose import is prohibited or restricted under the laws of the destination is seized or returned by customs.
3. The Company is not liable for delivery delays caused by natural disasters, traffic conditions, circumstances of the carrier or other causes not attributable to the Company.

Article 9 (Prohibited conduct)

Customers must not engage in any of the following when using the Service:
(1) resale, purchase for commercial purposes, or purchases that the Company judges to be for resale;
(2) ordering with false information or impersonating another person;
(3) purchasing adult products while under 18, or supplying adult products to a person under 18;
(4) reproducing, reposting, altering or distributing product images, text or other content of the Shop without the Company’s permission;
(5) unauthorised access to, or placing an excessive load on, the Shop’s systems;
(6) infringing the rights of, or defaming, the Company, other Customers or third parties;
(7) conduct that violates laws or public order and morals;
(8) any other conduct the Company deems inappropriate.

Article 10 (Exclusion of anti-social forces)

1. The Customer represents that they are not, and undertakes that they will not in future be, a member of or affiliated with organised crime groups, their members or associates, related companies, corporate racketeers, groups engaging in criminal activities under the pretext of social movements, special intelligence crime groups or any similar persons (collectively “anti-social forces”).
2. If the Customer breaches the preceding paragraph, the Company may, without notice, cancel orders or take other necessary measures, and is not liable for any resulting loss to the Customer.

Article 11 (Provision of the Service)

1. The Company may change, add to, temporarily suspend or terminate the Service without prior notice to the Customer.
2. The Company may temporarily suspend all or part of the Service for system maintenance, failures, natural disasters or other unavoidable reasons.

Article 12 (Intellectual property)

Copyright, trademark rights and all other intellectual property rights in the Shop and in the products sold on it belong to the Company or to third parties who license them to the Company. Purchase of a product transfers ownership of the physical item only and does not transfer or license any intellectual property rights.

Article 13 (Disclaimer)

1. The Company makes no express or implied warranty that the Service is free from factual or legal defects (including defects, errors or infringements relating to safety, reliability, accuracy, completeness, effectiveness, fitness for a particular purpose or security).
2. The Company is not liable for any loss suffered by the Customer in connection with the Service except where caused by the Company’s wilful misconduct or gross negligence. Where the Company is liable, its liability is limited to the amount paid by the Customer to the Company for the order that gave rise to the loss; this limitation does not apply to the extent it is not permitted under the Consumer Contract Act or other applicable law.
3. The Company is not responsible for third-party websites or services linked from the Shop.

Article 14 (Personal information)

The Company handles personal information obtained in connection with the Service in accordance with the separately published “Habbit Shop Privacy Policy”.

Article 15 (Notices and communications)

1. Notices from the Company to the Customer are given by e-mail to the address entered when ordering, or by posting on the Shop. E-mail notices are deemed received when sent by the Company.
2. Communications from the Customer to the Company are to be made via the contact form on the Shop or by another method designated by the Company.

Article 16 (No assignment)

The Customer may not assign, or offer as security, any rights or obligations under these Terms to a third party without the Company’s prior written consent.

Article 17 (Severability)

If any provision of these Terms, or part of one, is held invalid or unenforceable under the Consumer Contract Act or other law, the remaining provisions continue in full force and effect.

Article 18 (Governing law and jurisdiction)

1. These Terms are governed by and construed in accordance with the laws of Japan.
2. The Tokyo District Court has exclusive jurisdiction in the first instance over any dispute between the Company and the Customer arising out of the Service or these Terms.
